These Terms of Service govern access to and use of Coordivio, including websites, applications, portals, integrations, Vera, accounting functionality, event workflows, warehouse tools, business pillars, and related services.
By creating an account, accessing the platform, accepting an invitation, signing an order form, or using any Coordivio service, you agree to these Terms on behalf of yourself and, if applicable, the business or organization you represent.
If you do not agree to these Terms, do not use Coordivio.
Coordivio is an operating system for live event businesses. The platform may include event management, CRM, contracts, payments, full accounting, bank reconciliation, warehouse management, label tools, timeline building, portals, integrations, business-type pillars, Vera, and operational intelligence features.
Coordivio may evolve over time. Features may be added, changed, limited, renamed, improved, or discontinued as the platform develops.
Customers are responsible for all activity under their accounts and for ensuring that authorized users comply with these Terms. Each user must use accurate login credentials and may not share accounts unless Coordivio expressly permits shared access.
Customers are responsible for managing roles, permissions, access levels, and employee or contractor access. Customers must promptly remove access for users who no longer need access, including former employees, contractors, or vendors.
Coordivio is provided as a subscription service. Subscription terms, pricing, included users, business pillars, additional seat blocks, payment timing, and billing frequency may be described on the website, in an order form, in an invoice, or in written communications from Coordivio.
Unless otherwise stated, subscription fees are billed in advance and are non-refundable except where required by law or expressly agreed in writing. Customers authorize Coordivio or its payment processor to charge applicable fees, taxes, and other amounts due. Customers are responsible for maintaining current payment information.
Coordivio may offer Founder pricing, beta pricing, promotional pricing, or other special pricing. Such pricing may be subject to separate written conditions and may apply only to eligible customers.
Coordivio may offer certain early operators Founder pricing, free beta access, lifetime beta access, or other special arrangements in exchange for feedback, testing, operational insight, referrals, or early participation.
Unless expressly stated in writing, beta features are provided for testing and feedback purposes and may be incomplete, unstable, or changed substantially before general release.
Founder or beta access may be subject to reasonable requirements such as active use, feedback participation, account standing, acceptable use, and continued compliance with these Terms.
Customers retain ownership of their business data, including event records, customer records, financial records, recipes, inventory, contracts, uploaded documents, pricing, operational history, and other data entered into the platform.
Customers grant Coordivio a limited license to host, process, transmit, display, analyze, back up, and use Customer Data as necessary to provide, secure, maintain, and improve the service. Customers are responsible for the accuracy, legality, reliability, and rights associated with Customer Data.
Each party may receive confidential information from the other. Confidential information includes non-public business, technical, financial, operational, customer, pricing, product, and strategic information.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the service, except where disclosure is required by law or authorized in writing. Customer Data is treated as confidential information of the customer, subject to the processing rights described in these Terms and the Privacy Policy.
Users may not use Coordivio to violate laws, infringe rights, transmit malware, attempt unauthorized access, disrupt systems, abuse integrations, scrape the service, overload infrastructure, reverse engineer the platform, send unlawful communications, or upload malicious or unlawful content.
Users may not use the platform to process information they do not have the right to process or to misrepresent their business, pricing, customers, services, or identity. Coordivio may suspend or restrict access to protect the platform, customers, users, or third parties.
Vera and other AI-assisted features may generate summaries, recommendations, classifications, drafts, explanations, reminders, operational observations, or other content based on platform data and user prompts.
AI output is not professional legal, tax, accounting, employment, food safety, insurance, financial, or business advice. Users are responsible for reviewing AI output before relying on it. Coordivio does not guarantee that AI output will be complete, accurate, current, or suitable for a particular use. Users should apply professional judgment and consult qualified advisors where appropriate.
Coordivio may include financial and accounting features such as invoices, payments, chart of accounts, general ledger, journal entries, bank reconciliation, sales tax reporting, expenses, receipts, and financial statements.
Customers remain responsible for their own accounting decisions, tax filings, payroll compliance, financial reporting, legal compliance, and review of all financial records. Coordivio is not a certified public accountant, tax preparer, law firm, payroll provider, or financial advisor unless expressly stated in a separate written agreement.
Payment processing may be provided by third-party processors such as Stripe or other providers. Customers may be required to accept the terms of those processors.
Coordivio is not responsible for delays, holds, chargebacks, reserves, declines, processor fees, payout timing, or third-party processor decisions, except to the extent caused by Coordivio's own willful misconduct or as required by law. Customers are responsible for complying with payment network rules, refund obligations, chargeback responses, and applicable laws.
Coordivio may integrate with third-party services such as Stripe, Plaid, QuickBooks, Xero, Google, email providers, payroll systems, banks, and other tools. Use of third-party integrations is optional and may be subject to separate terms, fees, permissions, privacy policies, and availability controlled by those third parties.
Coordivio is not responsible for third-party services, outages, data changes, API changes, security incidents, or decisions by third-party providers.
Coordivio may use de-identified, aggregated, or anonymized data to improve the platform, build Product Intelligence, develop benchmarks, improve Vera, understand operational trends, and create insights for operators. Coordivio will not publicly identify a customer's confidential business data in benchmarking or industry reporting without appropriate authorization.
Product Intelligence may include normalized product attributes, cost trends, yield data, usage patterns, category mapping, and other operational intelligence derived from platform use.
Coordivio and its software, designs, workflows, interfaces, code, documentation, Vera behavior, data structures, product concepts, trademarks, logos, and related materials are owned by Coordivio or its licensors. Customers may use Coordivio only as permitted by these Terms. No rights are granted except as expressly stated.
Feedback, suggestions, ideas, or recommendations provided to Coordivio may be used by Coordivio without restriction or compensation, unless otherwise agreed in writing.
Customers are responsible for content they publish, send, upload, or make available through Coordivio, including websites, portals, proposals, contracts, emails, guest pages, documents, and public links. Customers are responsible for ensuring that public-facing content is accurate, lawful, non-infringing, and appropriate for their customers and guests.
Customers may request export of certain Customer Data, subject to technical limitations, account standing, legal requirements, and reasonable procedures.
Upon termination, Coordivio may retain data as necessary for backups, audit logs, legal compliance, accounting, dispute resolution, fraud prevention, security, and legitimate business purposes. Coordivio may suspend or terminate access for nonpayment, security risk, violation of these Terms, unlawful activity, or misuse of the service.
Coordivio will use commercially reasonable efforts to keep the service available. However, downtime may occur due to maintenance, updates, outages, third-party failures, security issues, or events beyond Coordivio's control.
Support may be provided through email, chat, documentation, in-platform assistance, or other methods determined by Coordivio. Support scope may vary by plan or customer arrangement.
The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. Coordivio disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, and that any output, report, recommendation, or AI response will be accurate or complete.
Customers are responsible for independent review of business, legal, financial, tax, operational, employment, food safety, and customer-facing decisions.
To the maximum extent permitted by law, Coordivio will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, business opportunity, or business interruption.
To the maximum extent permitted by law, Coordivio's total liability for claims arising out of or relating to the service will not exceed the amounts paid by the customer to Coordivio for the service during the twelve months before the event giving rise to the claim.
Customers agree to defend, indemnify, and hold harmless Coordivio from claims arising from Customer Data, customer content, misuse of the service, violation of these Terms, violation of law, infringement of third-party rights, or business activities conducted through the platform.
Coordivio may update these Terms from time to time. Updated Terms will be posted or otherwise made available. Continued use of the service after updated Terms become effective constitutes acceptance.
These Terms are governed by the laws of the state identified in Coordivio's customer agreement or business records, without regard to conflict-of-law rules. If no state is specified, the laws of North Dakota apply.
The parties will attempt to resolve disputes informally before pursuing formal proceedings, except for urgent matters involving security, intellectual property, confidentiality, nonpayment, or unlawful use.
